SIBUR and Tosol-Sintez have signed an agreement on the sale of coolants and brake fluids facilities located on the former Kaprolaktam plant site in Dzerzhinsk, SIBUR informed.
The projected annual capacity of the facilities is 46,000 tonnes of coolants and 22,800 tonnes of brake fluids.
SIBUR has worked with Tosol-Sintez in the technical fluids segment since 2001, in particular, by selling it monoethylene glycol, which is used in the production of coolants and brake fluids. System fluids are the core products marketed by Tosol-Sintez.
As agreed between SIBUR and the new owner, after their shutdown the staff will be transferred to Tosol-Sintez, the latter becoming a resident of the Oka-Polymer industrial park as a system fluid production facility.
Previously, Kaprolaktam's ethylene chlorohydrin units were sold to another strategic investor – Kazan Synthetic Rubber Plant. SIBUR is transferring the assets to their new owners as part of the phased process of the Kaprolaktam chlorine production shutdown and conversion of the site into an industrial park.
Tosol-Sintez is a leader in the domestic market of internal combustion engine coolants (antifreezes) and other system fluids. The company's dealer chain covers several regions of Russia and foreign countries.
SIBUR Holding (tax number: 7727547261) is the largest Russian manufacturer of petrochemical goods, in particular, rubbers, tires, polymers and liquefied gases. In 2011, SIBUR processed more than 18 billion cubic meters of associated gas. The sole shareholder of SIBUR Holding is SIBUR Ltd. (Cyprus). The beneficiaries of SIBUR Ltd as of October 27, 2011 were: Leonid Mikhelson (57.5%), Gennady Timchenko (37.5%), and the management of SIBUR Holding (5%).
According to the information and retrieval system DataCapital, net profit (RAS) of SIBUR Holding for 2011 was RUB 94.6 billion. Net profit (RAS) of CJSC SIBUR Holding for Q1 2012 decreased by 27.15% to RUB 14.583 billion from RUB 20.017 billion for the same period in 2011. Revenue grew by 5.4% to RUB 59.669 billion from RUB 56.613 billion, GP decreased by RUB 23.524 billion from RUB 25.474 billion.
Net profit (IFRS) of OJSC SIBUR Holding for H1 2012 decreased by 8.7% to RUB 29.662 billion from RUB 32.499 billion for H1 2011. Revenue increased by 12.6% to RUB 136.926 billion from RUB 121.586 billion, EBITDA shrank by 5.1% to RUB 42.562 billion from RUB 44.836 billion.
