Sep. end MegaFon is going to acquire shares in Skartel and Yota, the company informed.
The merger of the assets permits to strengthen position of the Company in the sphere of the high-speed data transfer.
Aug. start MegaFon BOD recommended the holders to acquire 100% in Maxiten Co Limited to define business activity of Skartel and Yota. Maxiten is sold by Garsdale as controlling holder of MegaFon for $1.18an but for the net debts of above two companies ($600mln plus $20mln a month). Sep. 12 the holders approved this transaction.
MegaFon (TIN 7812014560) was set up in 2002 and is ranked as the 2d by the number of cellular consumers in Russia. In June 2010 MegaFon acquired 100% in Sinterra. The subs are operating in Tadjikistan, Abkhazia, South Osetia.
TeliaSonera holds 25%, AF Telecom - 50% plus one stock, MegaFon Investments (Cyprus) Limited - 9.99%.
The share capital is worth 62mln rub. split in 620mln common stocks of 0.1 rub. par.
The 2012-net profit declined 12.1% (US GAAP) to 38.306bn rub.
The consolidated revenues moved up 12.4% to 272.637bn rub.; OIBDA added 16.4% to come to 117.356bn rub.; OIBDA margin - 43% from 41.6% prior year.
The net money flow rose 2.7 fold to reach 70.802bn rub.
The IQ 2013 boosted 40.1% (RAS) to come to 13.713bn rub. from 9.79bn rub.
