M&A: Delta-Trans-Invest buys 25% stake in Aeroexpress from Russian Railways

Delta-Trans-Invest LLC acquired from JSC Russian Railways a 25% equity stake in Aeroexpress LLC, the latter company informed.

As a result of this transaction, the equity position of Russian Railways decreased to 25% from 50%, the stake owned by Delta-Trans-Invest increased to 50% from 25%.

It will be recalled that Russian Railways acquired a 50% equity stake in Aeroexpress in 2008 with the aim of providing comprehensive transport services to passengers of the Sheremetyevo International Airport. Aeroexpress's successful development as planned resulting in a higher business value could later motivate Russian Railways to sell its stake in the company to derive an investment income, Russian Railways commented on making that decision.

Aeroexpress operates a rapid railway transit system conveying passengers between Moscow City and the airports of the Moscow Air Cluster (Vnukovo, Sheremetyevo, Domodedovo), between the Savyolovsky railway station and the Lobnya station, as well as in Kazan and Vladivostok cities (between the respective railway terminals and airports). The company is an agent of Russian Railways, selling tickets and providing services to passengers traveling between the rail terminal and the airport in Sochi city, and leasing out premises of the Sheremetyevo railway terminal.

Aeroexpress LLC (tax number: 5047066172) is a transport operator established 2005 providing Intermodal and commuter transportation services pursuant to the license of the Ministry of Transport of the Russian Federation. Aeroexpress provides railway connection between Moscow City and the airports of the Moscow Air Cluster (Vnukovo, Domodedovo and Sheremetyevo) as well as the Lobnya city.

On July 20, 2012, an Aeroexpress line was launched in Vladivostok between the central railway terminal and the new Knevichi airport. Since May 22, 2013, Aeroexpress trains have been plying in Kazan, the capital of the 2013 Summer Universiade. The company's shareholding structure includes JSC Russian Railways, Delta-Trans-Invest LLC and private investors.

In 2013, the company's passenger throughput reached a record high of 20.1 million.

According to the DataCapital information retrieval system, RAS net profit of LLC Aeroexpress for 9 months 2013 grew by 32.12% to RUB 442.01 million from RUB 334.555 million the year before. Revenue increased by 22.5% to RUB 3.894 billion from RUB 3.179 billion, sales profit by 30.8% to RUB 1.169 billion from RUB 893.883 million, pre-tax profit by 32.91% to RUB 613.772 million from RUB 461.809 million.
