Restaurant United Chain and New Technologies of Euro-American Development Restaurants LLC decided to undergo a restructuring, according to a statement by OJSC Rosinter Restaurants Holding.
According to the decision, Rosinter Restaurants LLC will be restructured through the takeover of Honored Guest LLC. As a result, the authorized capital of Rosinter Restaurants will absorb that of Honored Guest and increase to RUB 1,300,119,900. Rosinter Restaurants' 1% equity stake in Honored Guest will be canceled.
Besides, the deal will change the stakes of Rosinter Restaurants shareholders. In particular, the stake of OJSC Rosinter Restaurants Holding with the nominal value of more than RUB 1.284 billion will increase by the nominal value of the equity stake in Honored Guest LLC (RUB 9.9 thousand); following the merger completion, the company's equity stake in Rosinter Restaurants will reach 98.78346%.
The stake of Aminvest Limited with the nominal value of more than RUB 15.816 million is not subject to change and will account for 1.21654% of Rosinter Restaurants' authorized capital upon completion of the restructuring process.
