M&A: Gazprom Neft buys Gazprom Neft Shelf

The Board of Directors of JSC Gazprom Neft has approved the acquisition of Gazprom Neft Shelf LLC for RUB 2.682 billion, Gazprom Neft informed.

Earlier, the Board of Directors of JSC Gazprom approved Gazprom Neft's withdrawal from Gazprom Neft Shelf LLC a shelf and the conclusion of a purchase and sale contract with JSC Gazprom Neft in respect of a 100% equity stake in Gazprom Neft Shelf LLC with the nominal value of 1 million rubles.

Gazprom Neft Shelf LLC is licensed to develop the Prirazlomnoye oil field where Gazprom Neft holds the operatorship. Oil production was launched at Prirazlomnoye in December 2013.

JSC Gazprom Neft (tax number: 5504036333) ranks fifth largest oil producer in the Russian Federation. Gazprom Neft and its subsidiaries own 61 licenses for the prospecting and development of oil fields. The proven oil reserves in the company's fields exceed 4.5 billion barrels. The company's largest shareholder is Gazprom Group.

IFRS net profit of Gazprom Neft for 2013 attributable to the company's shareholders grew by 0.9% to RUB 177.917 billion. Revenue decreased by 1% to RUB 1.504 trillion from RUB 1.519 trillion in 2012, adjusted EBITDA (earnings before interest, taxes, depreciation, and amortization) increased by 4.2% to RUB 336.752 billion from RUB 323.106 billion.

According to the DataCapital information retrieval system, RAS net loss of JSC Gazprom Neft for Q1 2014 was RUB 342 million against a profit of RUB 15.054 billion the year before. Revenue decreased to RUB 297.339 billion from RUB 300.853 billion. COGS grew by 3% to RUB 210.63 billion, GP decreased by 10% to RUB 86.708 billion from RUB 96.228 billion.
