Alfa-Bank launches second offer to buy out Europlan shares for minority shareholders

The share of Alfa-Bank JSC in PJSC LC Europlan amounted to 94.75%, and including shares of affiliated companies — 95.36%. These are the results of Alfa-Bank's mandatory offer to Europlan's minority shareholders in January 2026. This is stated in the message of the bank.

In connection with overcoming the 95% mark, Alfa-Bank, in accordance with the requirements of the legislation, will send an official notification to the shareholders of Europlan on the voluntary repurchase of shares. It will be sent by the end of May.

LC Europlan (part of Alfa-Bank Group) is a Russian non—governmental car leasing company. It provides a full range of services for leasing and further operation of passenger cars, trucks, commercial vehicles, as well as special equipment.

As of December 31, 2025, key management personnel own 1.3% of the ordinary shares of PJSC LC Europlan (as of December 31, 2024 — 1.1%). In December 2025, the company's controlling shareholder was replaced. Alfa-Bank has completed the acquisition of 87.5% of shares of PJSC LC Europlan.

At the end of March 2026, the company employed 2,986 thousand employees. The company also implements employment programs for people with disabilities.

Net profit under IFRS for 2025 amounted to 5.1 billion rubles. Net investment in leasing has fallen by 34% since the beginning of the year and amounted to 168.6 billion rubles. As of December 31, 2025, the capital amounted to 42.4 billion rubles (-16%).

Europlan's net profit for 2025 according to RAS fell by 73.2% to 4 billion rubles from 15.07 billion rubles a year earlier. Revenue decreased by 6.2% to 59.97 billion rubles from 63.93 billion rubles. Retained earnings as of December 31, 2025 amounted to 41.39 billion rubles against 35.3 billion rubles as of December 31, 2024.
