American DuPont de Nemours sells Aramids division for $1.8 billion

The American chemical company DuPont de Nemours Inc. has entered into a definitive agreement to sell the Aramids division for the production of Nomex and Kevlar brands to a subsidiary of TJC, L.P. Arclin for $1.8 billion. This is reported in a DuPont press release.

As part of the deal, DuPont will receive an advance of $1.2 billion, promissory notes for $300 million and 17.5% of Arclin shares after the merger with Aramids. The transaction is expected to be completed in the first quarter of 2026, subject to customary closing conditions and regulatory approval.

The decision to sell assets was made in connection with the reorganization announced in May 2024 and aimed at optimizing DuPont's assets, increasing revenue for shareholders and implementing strategic plans to further increase the company's value. The sale of Aramids will not affect the planned separation of DuPont's electronics division on November 1, 2025.

Through the acquisition of Aramids, Arclin expects to expand its market presence by leveraging new technologies to bring effective solutions and products to market, including Arclin Firepoint.

Centerview Partners and Goldman Sachs & Co. LLC act as DuPont's financial advisors, while Piper Sandler & The Company and Kirkland & Ellis LLP are TJC/Arclin consultants.

Aramids is a division of DuPont for the production of high-performance synthetic aramid materials Kevlar and Nomex with high performance characteristics. Aramids operates five production sites with 2,000 employees. In 2024, sales totaled $1.3 billion. 

Arclin is a subsidiary of TJC, L.P. in the field of materials science and production of polymer technologies, engineering products, as well as specialized materials for construction, agriculture, transport infrastructure, etc. The headquarters is located in Alpharetta, Georgia with offices in the USA, Canada and the UK.

TJC, L.P. is an American investment company in the field of industrial technology, healthcare and logistics. The company manages assets worth $33.2 billion. The headquarters is located in New York (USA). 

DuPont is one of the world's largest chemical companies. The company develops innovative products for agriculture and the food industry, civil and road construction, automotive industry, electric power industry, oil and gas industry, personal protective equipment, industrial biotechnologies. DuPont is a developer of polymer materials (neoprene, nylon, kevlar, mylar, tyvek, etc.) and freons used in the manufacture of refrigeration devices. The company is headquartered in Wilmington, Delaware.
