The American media conglomerate Fox Corp. signed an agreement to acquire the streaming platform Roku Inc. for $22 billion, including debt obligations. This is reported in a press release from Fox.
As part of the deal, Fox will pay $160 ($96 in cash and 0.97 Class A shares of Fox) for a Roku share. To finance the transaction, the company intends to use its own and borrowed funds, including a $12 billion credit line.
The transaction is expected to be completed in the first half of 2027, subject to approval from shareholders and antimonopoly authorities. Upon completion of the transaction, Fox shareholders will receive 73% of the combined company's shares, while Roku shareholders will receive 27%.
After the merger, the combined company is expected to become the third largest player in the American television market in terms of viewing share. The deal will combine Fox's sports, news, and entertainment channels with the Roku streaming platform with over 100 million subscribers.
The deal will help strengthen Fox's streaming business as consumers increasingly switch from traditional subscription models to cheaper, ad-supported data plans. In 2020, Fox bought Tubi, which has become one of the main drivers of the company's growth. Other Fox streaming services include Fox One and Fox Nation.
Combining Tubi with Roku creates an ad-supported free streaming source that will increase the level of competition with Amazon.com Inc. and Netflix Inc. for advertising funds.
Roku earns revenue mainly from the sale of digital advertising and streaming services that allow streaming content from Netflix and HBO Max apps to TVs. Roku can reach a large number of viewers and establish interaction against the background of the refusal of some users from cable television. The platform segment generated $4.1 billion (87.5% of revenue in 2025).
Roku, Inc. is an American company producing streaming devices and televisions. The company provides streaming services and is engaged in the advertising business. It is headquartered in San Jose, California, with offices in Australia, Canada, France, Germany, the United Kingdom, and Latin America.
Fox Corp. is an American media conglomerate in the field of news, sports and entertainment. The headquarters is located in New York (USA). Revenue was $16.3 billion in 2025.
