Basis Group has completed its IPO at the upper limit of the price range. This is stated in the company's message.


The IPO price was set by the group's current minority shareholders at 109 rubles per share. According to the results of the IPO, the selling shareholders retained their participation in the group's share capital.

The market capitalization of Basis will amount to 18 billion rubles at the offer price.

The IPO volume amounted to 27.52 million shares, which corresponds to 3 billion rubles at the offer price.

The majority shareholder of the group, RTK-TSOD (controlled by Rostelecom PJSC), did not sell its shares and retained its 50.3% stake. RTK-TSOD will continue to participate in the development of the Basis business.

Following the results of the IPO, the share of shares in free float will amount to 16.7% of the group's share capital.

In preparation for the IPO, the group approved a long-term employee motivation program. As part of this program, minority shareholders transferred 5% of the group's share capital to the program operator for further distribution among key employees and top management of Bazis.

The current shareholders, who collectively own more than 99% of the shares, and their affiliates have assumed obligations established by agreements with the organizers related to the restriction on the disposal of shares within 180 days after the end of the IPO.

Trading of shares on the Moscow Stock Exchange under the ticker BAZA and ISIN RU000A10CTQ0 will begin today, December 10, 2025, at 16:00 MSK. The shares are included in the Second-tier quotation list of the Moscow Stock Exchange.

A stabilization mechanism is provided in connection with the proposal. Shares in the amount of up to 10% of the total number of shares within the scope of the offer (2.752 million shares) can be purchased on the open market for up to 30 days starting from December 10, 2025. The stabilization agent is VTB Capital Trading LLC.

The Basis Group of Companies is a Russian vendor and developer of dynamic IT infrastructure management software.

Revenue under IFRS for 2024 amounted to 4.6 billion rubles against 3 billion rubles a year earlier, net profit increased to 2 billion rubles from 1.7 billion rubles.

PJSC Rostelecom (TIN 7707049388) is a national long—distance communications operator that provides the transmission of the majority of long-distance and international traffic, as well as the operation of a terrestrial network of television and radio channels. Rostelecom's main shareholder is the state.

Rostelecom's net profit for the first 9 months of 2025 under IFRS decreased by 5% to 18.466 billion rubles from 19.34 billion rubles a year earlier. Revenue increased by 10% to 602.3 billion rubles from 546.055 billion rubles, OIBDA increased by 6% to 235.78 billion rubles from 222.26 billion rubles.

On September 30, 2025, the AK&M rating agency confirmed the rating of Rostelecom's non—financial statements at RESG 1, the highest level of disclosure of information on sustainable development in reports. The top-level rating is awarded to the company for the fifth year in a row.

Rostelecom is among the leaders of the fifth rating of responsibility to society and the eighth rating of social efficiency of the largest Russian companies.
