The Board of Directors of PJSC EL5-Energo approved the holding of absentee voting for decision-making by the meeting of shareholders of PJSC EL5-Energo on the approval of the reorganization in the form of merger. This is stated in the company's message.
As part of the reorganization, it is planned to join large generating companies — JSC VDK-Energo and LLC LUKOIL-Ekoenergo — to PJSC EL5-Energo. The reorganization will be cashless: the authorized capital of PJSC EL5-Energo will be increased by converting shares of JSC VDK-Energo and shares of LLC LUKOIL-Ekoenergo into additional shares of PJSC EL5-Energo.
JSC VDK-Energo is one of the largest energy companies in the ECO of the South of Russia and carries out the production of electric and thermal energy, as well as the transmission of thermal energy. JSC VDK-Energo is the main supplier of thermal energy in Rostov-on-Don, Volgodonsk, Krasnodar, Astrakhan, Volzhsky and Kislovodsk. The installed capacity of JSC VDK-Energo for the production of electric energy is 3.2 GW and for thermal energy — 7.1 thousand. Gcal/hr. JSC VDK-Energo manages 12 generation facilities using natural gas as fuel.
LUKOIL-Ekoenergo LLC is also located in the ECO of the South of Russia and produces electric energy based on renewable sources. The installed capacity of LUKOIL-Ekoenergo LLC for the production of electric energy is 0.33 GW. LUKOIL-Ekoenergo LLC manages 5 hydroelectric power plants and 3 solar power plants.
PJSC EL5-Energo is a Russian generating company. The production branches of PJSC EL5-Energo are three gas stations: Konakovskaya GRES, Nevinnomysskaya GRES and Sredneuralskaya GRES, as well as wind farms — Azovskaya WPP and Kola WPP.
The share capital structure as of January 31, 2025: LUKOIL — 65.63%, PPIT-7 LLC — 5.54%, minority shareholders — 28.83%.
EL5-Energy's net profit under IFRS for the first half of 2025 increased by 0.6% to RUB 3.186 billion from RUB 3.166 billion a year earlier. Revenue increased by 15.8% to 37.757 billion rubles from 32.614 billion rubles, EBITDA increased by 21.7% to 8.891 billion rubles from 7.308 billion rubles.
