The FAS has agreed on a deal to acquire the OK hypermarket chain. This is stated in the message of the service.

The FAS has considered the application of Zemun LLC for the acquisition of 99% of the authorized capital of RBF Retail LLC (in accordance with the application previously agreed by the FAS, it acquires 99.56% of OK LLC).

Upon completion of the transaction, the acquirer will gain indirect control over the hypermarket network.

According to the agency, the deal will not limit competition in the wholesale and retail markets.

Recall that the shareholders of O'key Group SA approved and approved the sale of the Hypermarkets segment, including the sale of real estate and land.

Earlier it became known that the Lenta retail chain plans to buy OK hypermarkets.

As of June 30, 2025, OK Group operated 303 stores in Russia (77 hypermarkets under the OK brand and 226 DA! discounters) with a total retail area of 664,817 sq.m. The Group opened its first hypermarket in 2002 in St. Petersburg. In 2015, the group launched a network of discounters "YES!". The Group operates five distribution centers in Russia: three in Moscow and two in St. Petersburg. The Group employs more than 19 thousand people.

The joint—stock structure of OK Group of Companies: NISEMAX Co Ltd — 49.11%, GSU Ltd — 34.14%, other shareholders and shares in free circulation - 16.75%.

The net profit of O'KEY Group S.A. for the first half of 2025 according to IFRS amounted to 223 million rubles. compared to 78 million rubles . The group's total revenue increased by 3.8% to RUB 109.6 billion.
