FAS has received petitions from X5 to acquire shares in the Krasny Yar and Slata businesses

FAS has received petitions from X5 Retail Group to acquire 70% of the shares of retail chains owned by the Slata and Krasny Yar groups of companies. The service will assess the impact of transactions on the Russian retail market in accordance with the established procedure. This is stated in the message of the FAS.

Recall that X5 Retail Group N.V. has reached an agreement on strategic partnership with the Krasny Yar and Slata groups of companies. The networks will continue to operate under their own brands while maintaining operational processes. At the same time, part of the processes will be integrated with X5 to enable the implementation of a synergistic effect, including in the field of procurement and logistics.

Krasny Yar Group includes 226 Krasny Yar and Baton stores in the Krasnoyarsk Territory, Tuva and Khakassia with a total retail area of 103.5 thousand square meters, Slata Group - 362 Slata and KhlebSol stores in the Irkutsk Region, Buryatia and the Trans-Baikal Territory with a total retail area of 132.3 thousand square meters. In addition, two groups of companies lease a total of four distribution centers with a total area of 56.2 thousand square meters: one facility is located in Krasnoyarsk, two more in the Irkutsk Region and one in the Trans–Baikal Territory.

X5 Group is a leading Russian grocery retail company that operates stores of several retail chains: stores "at home" under the brand "Pyaterochka", supermarkets under the brand "Perekrestok" and hard discounters under the brand "Chizhik". The company develops digital businesses Vprok.ru Crossroads, 5Post and "A Lot of Salmon".

As of June 30, 2022, the company had 19779 stores under management, with leading positions in Moscow and St. Petersburg and a significant presence in the European part of Russia. The network includes 18558 Pyaterochka stores, 986 Perekrestok supermarkets and 153 Chizhik hard discounters. The company manages 48 distribution centers and 4347 own trucks on the territory of the Russian Federation. 

X5 Retail Group's net profit under IFRS (IFRS 16) for the first half of 2022 increased by 29.7% to RUB 29.26 billion from RUB 22.56 billion a year earlier. Revenue increased by 18.8% to 1.25 trillion rubles from 1.05 trillion rubles, gross profit – by 17.7% to 317.4 billion rubles from 269.64 billion rubles, EBITDA – by 21.4% to 159.7 billion rubles from 131.56 billion rubles.
