Veolia Environment S.A. has entered into an agreement with Enviri Corp. on the acquisition of the American Clean Earth for $ 3 billion. This is reported in the Veolia press release.
Financing of the transaction involves the use of available funds and loans. The transaction is expected to be completed in mid-2026 after regulatory approval.
The transaction value is 9.8 times higher than the estimated profit for 2026 before EBITDA, taking into account cost savings. The combined company will have a nationwide platform with 700 operating licenses and 19 processing plants.
The deal aims to expand Veolia's presence in the U.S. hazardous waste recycling sector as the company strategically refocuses into fast-growing markets, including the United States, where demand for hazardous waste recycling is growing in the high-tech manufacturing, semiconductor, and healthcare sectors.
To maintain financial stability and investment grade credit rating, Veolia also intends to sell non-core assets worth 2 billion euros ($2.17 billion) as part of a large-scale portfolio transformation. Since the launch of the GreenUp strategic plan, the company has sold assets worth 8.5 billion euros.
The acquisition of Clean Earth will increase Veolia's revenue from the sale of hazardous waste to 5.2 billion euros, and its EBITDA margin will be 17%.
