Gemabank announces SPO dates

Gemabank has announced the dates of the SPO. This is stated in the company's message.

The preliminary collection of applications will be held from June 15 to 18, 2026 inclusive. The placement period is from June 19 to June 30, 2026.

The organizers of the placement are "Digital broker", "ALOR+".

Gemabank plans to place 3.37 million ordinary shares by open subscription on the Moscow Stock Exchange. The purpose of the placement is to ensure the growth and implementation of the company's strategic development plans, increase the liquidity of shares and attract long-term investors.

The price target will be announced before the start of the application collection. The final placement price will be determined based on the results of the application collection and disclosed no later than the start date of the placement – June 19, 2026.

Applications will be submitted through professional securities market participants (brokers) licensed by the Bank of Russia.

The International Medical Center for the Processing and Cryopreservation of Biomaterials (MMCB (Gemabank)) is a biotechnology company, part of the Artgen Biotech group of companies, engaged in the personal storage of biomaterials, primarily hematopoietic stem cells, and the development of gene therapy drugs for the treatment of diseases of the blood and immune system.

The net profit of the International Medical Center for the Processing and Cryopreservation of Biomaterials (Gemabank) for the 12 months of 2025 according to RAS increased by 4.7% to RUB 158.388 million from RUB 151.216 million a year earlier. Revenue increased by 8% to 376.736 million rubles from 348.6 million rubles, EBITDA increased by 8.3% to 180.4 million rubles from 166.6 million rubles.

The organization has increased the sample storage base to 48 thousand. In total, 15% more samples were deposited in 2025 than in 2024.

During 2025, 111.469 million rubles of dividends were paid.

Artgen is a biotech company with a portfolio of developments.

Gemabank and Nextgen remain the main sources of cash flow within the holding.

As of December 31, 2025, the main shareholders of PJSC Artgen are: individuals — 44.21%, LLC MirMam — 14.12%, LLC Artgen Ventures (formerly LLC HSCC Ventures) — 12.14%, PJSC MMTSB - 8.1%. The total share of the main shareholders in the authorized capital of the company is 78.56%.

Artgen Biotech's net profit in 2025 according to IFRS decreased by 55.35% to RUB 107.68 million from RUB 241.16 million a year earlier. Consolidated revenue increased by 12.8% to RUB 1.7 billion from RUB 1.5 billion. EBITDA fell by 33.23% to RUB 214.85 million from RUB 321.777 million.

Artgen Biotech's net profit in 2025 according to RAS increased by 14% to 303.6 million rubles from 265.45 million rubles a year earlier. Revenue increased to 361.435 million rubles from 119.861 million rubles, gross profit — to 350.129 million rubles from 66.3 million rubles.

Following its updated development strategy for 2024-2026, Artgen Biotech generates revenue from dividends from its subsidiaries.
