Goldman Sachs Asset Management (GSAM), the alternative investment division of Goldman Sachs Group Inc., has entered into an agreement to acquire a controlling stake in Dutch generic drug manufacturer Synthon International Holding BV from British investment company BC Partners. This is reported in a press release from BC Partners.
The value of the transaction is estimated at 2 billion euros ($2.1 billion). Banks and direct creditors intend to jointly allocate up to 1 billion euros to finance the transaction.
BC Partners acquired a controlling stake in Synthon International for $750 million in 2019 and doubled Synthon's operating profit. As part of the deal, BC Partners will retain a minority stake in Synthon to support the company's future growth.
Rothschild & Co., Barclays and PwC act as advisers to BC Partners. The transaction is expected to be completed in the second quarter of 2025.
Over the past 18 months, BC Partners has sold assets worth 11 billion euros, including a controlling stake in the Canadian security company GardaWorld, assets of the Italian frozen food manufacturer Forno d'Asolo, and transferred a stake in IMA Industria Macchine Automatiche to the American trading bank BDT&MSD Partners.
Synthon International is a Dutch manufacturer of generic medicines for the treatment of cancer, central nervous system and cardiovascular diseases. The headquarters is located in Nijmegen (Netherlands) with offices in Argentina, Chile, the Czech Republic, South Korea, Mexico and Spain.
