On October 25, 2024, the Board of Directors of ICPAO Headhunter recommended to the shareholders' meeting to approve the payment of dividends in the amount of 907 rubles per share. As a result, the group is expected to allocate about 100% of the adjusted net profit earned in 2021-2024 to dividends, which corresponds to the upper limit of the range established in the group's dividend policy. This is stated in the company's message.

The extraordinary general meeting of Headhunter shareholders on the issue of dividend payment will be held on December 6, 2024. It is expected that if the shareholders approve the recommendation of the Board of Directors, the payment of dividends will be carried out before December 25, 2024. The list of persons entitled to receive dividends will be determined as of December 17, 2024. The exact timing of the dividend payment depends, among other things, on the completion of all necessary actions for the redomicilation of the group's Cypriot companies to Russia, which are mainly related to state registration in the Russian register of legal entities.

Headhunter Group PLC, the former holding company of the group, is completing its redomicilation to Russia and registration as MKAO Headhunter Group PIELSI. Due to the specifics of the group's corporate structure and applicable legislation, the distribution of dividends to the shareholders of Headhunter Group PLC (MKAO Headhunter Group PIELSI) is expected in the third quarter of 2025 in the same amount of RUB 907 per share. To receive dividends, the shareholders of Headhunter Group PLC will need to undergo the procedure of converting their American depositary receipts into ordinary shares of MKAO Headhunter Group PIELSI.
