MTS-Bank acquires 51% of the owner of the KD Pay service

MTS-Bank PJSC acquires a controlling stake of 51% in Retail Processing LLC, the owner of the QR code payment and loyalty service under the KD Pay brand. This is stated in the message of the bank.

Based on KD Pay technology, MTS Bank will launch a service for paying for purchases and participating in partner loyalty programs in offline retail.

MTS Bank will integrate KD Pay technology into the payment infrastructure during the year and intends to increase its stake in the company to 100%. The financial terms of the deal were not disclosed.

KD Pay is a fast and secure QR code payment service that combines payment and accrual of bonuses under the Club of Friends loyalty program in one action. The user can pay for purchases using a smartphone without the Internet and receive bonuses. It is enough to show the cashier the QR code from the smartphone. For merchants, the technology accelerates customer service at the checkout and retains full control over the partner's own loyalty program.

Retail Processing LLC (TIN 3906400490) was founded in 2021 in Kaliningrad. KD Pay technology is already operating in the Spar-Kaliningrad retail chain, the franchisee of the Spar retailer in the Kaliningrad region, which unites more than 110 grocery stores.

As of December 31, 2025, the participants are: Oleg Ponomarev – 80%, Leonid Dubov – 10%, Dmitry Salabaev – 10%.

RAS revenue for 2025 decreased by 64% to 60.3 million rubles, net loss amounted to 24.58 million rubles against profit a year earlier. No dividends were accrued.

MTS Bank (MTS-Bank PJSC) is a digital commercial bank that provides a range of services to individuals and companies. The main shareholder is a private limited liability company Mobile TeleSystems B. V., a subsidiary of PJSC Mobile TeleSystems.

MTS Bank's net profit under IFRS in 2025 increased by 16.7% compared to 2024 to RUB 14.4 billion.
