Softline Group signs a deal with Sk Capital to sell more than 10% of shares for 5 billion rubles

Softline Group investment and technology holding is concluding a deal to sell more than 10% of ordinary shares in the amount of 5 billion rubles from the quasi-treasury block of shares of the company. The buyer of the package will be the investment company Sk Capital (VEB.RF Group). This investment will make it the largest minority shareholder of Softline Group, the company reports.

The parties agreed that in order to maintain the stability of market quotations, the investor undertakes to refrain from selling shares of PJSC Softline for two years after the completion of the transaction. After this period, Sk Capital guarantees that the volume of the company's shares sold on the Moscow Stock Exchange within one trading day will not exceed 10% of the total trading volume for the previous trading day.

The deal is aimed at implementing an investment program in one of the priority areas of the VEB Group's strategy.Russia's goal until 2030 is to achieve technological leadership.

The attracted investments will allow Softline Group to accelerate its development in key and promising areas, both organically and through thoughtful M&A transactions, the report emphasizes.

Since 2022, Softline Group has completed more than 16 M&A transactions, including acquisitions of small technology companies based in Skolkovo.

Turnover increased by 32% to RUB 120.6 billion, gross profit — by 57% to RUB 36.9 billion, adjusted EBITDA — by 58% to RUB 7.1 billion.

The net profit of PJSC Softline under IFRS for the first quarter of 2025 increased 3 times to 744.6 million rubles. compared to 227 billion rubles a year earlier. Turnover increased by 12% to 24 billion rubles from 21.48 billion rubles, gross profit — by 19% to 9.3 billion rubles from 7.82 billion rubles, adjusted EBITDA — by 3% to 1.8 billion rubles from 1.76 billion rubles.

The number of employees of the group as of March 31, 2025 amounted to 11.1 thousand people. The number of highly qualified engineers and developers increased by 22% to 6.2 thousand people.
