The American investment company Bain Capital, LP has entered into an agreement with Volkswagen AG to acquire a controlling stake in the Everllence division. This is reported in a press release from Bain Capital.
As part of the deal, Bain Capital will buy 51% of Everllence shares for 7.4 billion euros ($8.4 billion), while Volkswagen will retain 49% of the shares. The banks are seeking to attract the interest of creditors in financing in the amount of 6.5 billion euros ($7.7 billion) of borrowed funds.
Bain Capital beat competitors CVC Capital Partners Plc and the EQT AB consortium consisting of Qatar Investment Authority and Porsche Automobil Holding SE. Volkswagen attracted Goldman Sachs Group Inc. and JPMorgan Chase & Co. as consultants within the framework of the transaction.
The deal is aimed at optimizing Volkswagen's structure through the sale of a non-core industrial asset and strengthening the financial situation, which has forced Volkswagen to look for new ways to reduce costs in addition to a plan to cut 50,000 jobs in Germany by 2030 and reduce car production capacity. In addition, BMW AG recently cut its forecast amid weak sales in China and the emergence of new competitors, including Tesla Inc. and BYD Co.
Private equity firms are showing increased interest in industrial assets amid instability in the software sector.
