The investment holding company SFI (PJSC "EsEfAi") and Alfa-Bank have agreed on the purchase by the bank of 87.5% of shares of the independent car leasing company PJSC "LC "Europlan". This is stated in the message of the parties.
As part of the deal, Europlan is valued at 65 billion rubles for 100% of the company's shares.
The parties signed legally binding documents. The transaction is scheduled to be completed after the closure of the Europlan shareholder register in order to pay dividends for the first nine months of 2025, receive corporate approvals and consent from the Federal Antimonopoly Service. The final purchase price will be adjusted for the amount of these dividends. The company's shareholders' meeting, scheduled for December 4, will consider the issue of paying dividends in the amount of 6.96 billion rubles. After closing the transaction, Alfa-Bank will send a mandatory offer to buy back shares from Europlan's minority shareholders within the time limits prescribed by law.
LC Europlan (SFI asset) is a Russian non—governmental car leasing company. It provides a full range of services for leasing and further operation of passenger cars, trucks, commercial vehicles, as well as special equipment.
The key management staff owns 1.2% of the shares.

The net profit of LC Europlan under IFRS for 2024 amounted to 14.9 billion rubles. Net profit excluding the one—time effect of the increase in the income tax rate is 17.2 billion rubles.
