MKPAO Lenta acquires a 100% stake in LLC RFB-Retail— the operator of the OK hypermarket chain. This is stated in the message of Lenta.
The transaction is structured without a monetary component. Lenta assumes the debt obligations of the acquired company as payment for 100% of the shares.
According to management estimates, by the end of 2026, net debt/EBITDA will remain at the lower end of the target range at 1.0x, and the EBITDA margin will be at least 7%.
The deal was approved by the Federal Antimonopoly Service of Russia. The acquisition perimeter will include 75 OK hypermarkets with a total retail area of 478,000 square meters, as well as four leased distribution centers with a total area of 107,000 square meters. Stores are located in six federal districts of Russia, including Northwestern (25 stores), Central (17 stores), Southern (13 stores), Sibirsky (7 stores), Privolzhsky (7 stores) and Uralsky (6 stores).
It is planned to complete the integration of the acquired network by the end of 2026. Most stores will operate under the Hyper Lenta brand.

Lenta's net profit under IFRS for the first quarter of 2026 fell by 25.1% to 3.97 billion rubles from 5.3 billion rubles a year earlier. Revenue increased by 23.4% to 306.895 billion rubles from 248.755 billion rubles, EBITDA increased by 11.7% to 25.468 billion rubles from 22.808 billion rubles.
O'KEY GROUP S. A. owns a chain of stores under the "YES!" brand. By the end of 2025, the group operated 232 "YES!" discounters in more than 87 settlements of the Central Federal District of Russia, as well as two distribution centers in the Moscow region.
