Johnson Controls International Plc, a multinational company manufacturing security equipment and systems for buildings and structures, intends to sell the ADT Alarms division for $2 billion. This is reported by foreign media.
Johnson Controls has engaged Citigroup Inc. to assess the value of the transaction and the interest from investors including Advent International, Bain Capital, CVC Capital Partners Plc and Triton.
Negotiations are at an early stage and do not guarantee a final agreement, given Johnson Controls' possible decision to retain assets.
The proposed sale of ADT Alarms is in line with Johnson Controls' plans to review its strategy and asset portfolio to focus solely on the supply of systems for commercial buildings.
In April 2021, Johnson Controls acquired the Canadian company Silent-Aire for the production of ventilation systems for data centers. In July 2024, the company sold the heating and ventilation systems division to the German company Robert Bosch GmbH for $8 billion, as well as a stake in the Hitachi Air Conditioning joint venture. As a result of the deal, Bosch acquired 16 production sites and 12 design centers.
The decision to sell the assets was made under pressure from active investors, including Elliott Investment Management, which owns a large stake in Johnson Controls worth more than $1 billion.
