VTB shareholders, following the results of the absentee voting of the general meeting of shareholders, which took place on April 15, 2025, decided to reorganize VTB Bank in the form of joining RNKB, and also approved amendments to the bank's charter in connection with the corporate action. This is stated in the message of the bank.
The merger agreement does not provide for the procedure and ratio (ratio) for converting RNKB shares into VTB Bank shares due to the fact that 100 percent of the outstanding ordinary shares of RNKB belong to VTB Bank and are redeemed upon merger. RNKB has no preferred shares.
Thanks to the integration, more than 2 million RNKB customers will transfer to VTB. The transfer of RNKB's office network to the VTB brand will increase the availability of VTB's financial products and services to the population of Crimea and other regions where RNKB operates.
VTB estimates that as a result of the merger, the group's annual cost optimization will amount to at least 4 billion rubles.
VTB Group is a Russian financial group comprising more than 20 credit and financial companies operating in all major segments of the financial market.
