The German IT company Nemetschek SE has entered into an agreement with the American Thoma Bravo to acquire the software company Heavy Construction Systems Specialists (HCSS). This is reported in a press release from Nemetschek.

The value of the transaction is more than 2 billion euros ($2.4 billion) and is 20 times higher than HCSS EBITDA for 2025.

Upon completion of the transaction in the second half of 2026, HCSS will enter the structure of the Build&Construction segment. As part of the deal, Thoma Bravo, which acquired HCSS in 2021, will receive a 28% stake in the Build&Construction segment, which also includes the Bluebeam and GoCanvas brands.

From the point of view of Nemetschek's management, the acquisition of HCSS will allow the company to expand its presence in the fast-growing and sustainable sector of infrastructure and heavy civil engineering, as software developers for the construction sector "are in a better position under pressure from AI."

Nemetschek, which has a market value of 6.7 billion euros, may buy out the remaining 28% of Thoma Bravo shares or place a minority stake on the American stock exchange, but at the moment the company believes that "the presence of Thoma Bravo as a shareholder and a strong partner will help increase the value of the company."

Deutsche Bank AG, Citigroup Inc. and Centerview Partners act as advisors to Thoma Bravo, while JPMorgan Chase & Co. — a Nemetschek consultant.
