Sivers Semiconductors AB, a Swedish manufacturer of integrated circuits and photonic modules for communication and sensor solutions, has signed an agreement of intent to merge a subsidiary of Sivers Photonics Ltd with Nordic Acquisition Corporation. This is reported in the Sivers press release.
The proposed transaction will create a public company in the photonics sector with a significant amount of monetary resources after the completion of the process of separating Sivers Photonics from Sivers Semiconductors.
Today, Sivers Semiconductors includes two subsidiaries in the wireless and photonics segments (Sivers Wireless and Sivers Photonics). The Sivers Photonics subsidiary is one of the world's key providers of semiconductor photonic devices, including the development of lasers for fast-growing AI infrastructure and sensor applications for data centers, healthcare and automotive lidars.
Sivers Photonics holds three granted patents and 16 pending patents in the USA, UK and Canada. In addition, the company has signed contracts for the development of unique lasers for Ayar Labs and is negotiating with several large companies in the field of artificial intelligence.
As a result of the transaction, the remaining segment of Sivers Wireless will include assets in the development of interface integrated circuits for mmWave beamforming, radio frequency transceivers, repeaters and software applications.
Nordic and Sivers intend to conclude a final agreement on the merger of Sivers Photonics with Nordic in the near future. The completion of the business combination transaction depends on due diligence and regulatory approval.
After the closing of the transaction, Sivers will own a controlling stake in the combined company with headquarters in Silicon Valley (California), while the production facilities will remain in the UK.
