Russian President Vladimir Putin signed an order "On a special decision on the reorganization of JSC UniCredit Bank and transactions with its shares." The document is published on the portal of legal acts.
In particular, the reorganization of UniCredit Bank JSC in the form of a spin-off of a business entity with the receipt of its shares by the sole shareholder is allowed.
It is also allowed to make transactions for the acquisition of 100% shares of UniCredit Bank JSC owned by UniCredit S.p.A.
Earlier, UniCredit S. p. A. signed a preliminary agreement with a private investor from the UAE to sell part of the assets of UniCredit Bank JSC. Prior to that, it became known that UniCredit, instead of selling, could liquidate its subsidiary UniCredit Bank.

UniCredit Bank is included in the list of systemically important banks in Russia. It belongs to the Italian banking group UniCredit S.p.A. UniCredit Bank has been operating in Russia since 1989 and offers a wide range of banking services to corporate clients, individuals, small and medium-sized businesses, and financial institutions.
UniCredit Bank has published its financial statements for 2025. The year ended with a decrease in all key performance indicators of the bank. Assets decreased by 19% to 689 billion rubles. Net loan debt, which accounts for 66% of assets, decreased by 15%, and assets held in credit institutions decreased by 22%. The decrease in attracted funds of legal entities is especially noticeable in liabilities: for example, funds of non-credit organizations fell by 34% over the year. The reduction in the resource base led to a decrease in the bank's revenues and, following them, the profit earned, which decreased to 37 billion rubles in 2025 from 44 billion rubles in 2024.
